Introduction

These Terms & Conditions are a legal agreement between you and Aspera shpk, operating under the product brand name “Waiverly“. The rules and regulations for the use of Waiverly are available at: https://waiverly.net/.

By accessing and using Waiverly, you accept and agree to be bound by these terms and conditions. If you disagree with any part of the terms, you may not access the service.

Subscription and Access

Subject to your compliance with these terms, Waiverly grants you a non-exclusive, non-transferable, revocable subscription to use the mobile application and website for your business and commercial use. The subscription is granted solely to allow you to utilize and benefit from Waiverly’s services as provided by Waiverly, in the manner permitted by these terms.

User Accounts

a. Registration: You may be required to register for an account to access certain features of our app.

b. Responsibilities: You are responsible for maintaining the confidentiality of your account and password and for restricting access to your devices.

Prohibited Activities

You agree not to engage in the following activities:

a. Unauthorized copying, modification, distribution, or use of any part of the app or its content.

b. Using the service for any unlawful purpose.

c. Interfering with or circumventing the security features of the service or any related website, other websites, or the Internet.

Purchases and Payments

a. Subscriptions: Waiverly offers subscription services, which are billed on a recurring basis. Payments are handled through the app via the Apple Store or Google Play Store, and directly via our website for web-based subscriptions.

b. Renewals: Your subscription will automatically renew under the exact same conditions unless you cancel it or Waiverly cancels it. You may cancel your subscription renewal either through your online account management page or by contacting Waiverly customer support team.

c. Changing from a monthly billing cycle to a yearly billing cycle: When changing from a monthly billing cycle to a yearly billing cycle, Waiverly will bill for a full year at the next monthly billing date.

d. Fees and taxes: All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

Refund Policy

We offer a 30-day refund guarantee for all new Waiverly subscriptions purchased directly through our website.

If you are not satisfied with the service, you may request a full refund within 30 days of the initial purchase date by contacting us at support@waiverly.net.

After 30 days, all subscription payments are final and non-refundable, including in cases of account cancellation or non-usage.

Subscriptions purchased through the Apple App Store or Google Play Store are billed and managed independently by those platforms. Refunds for App Store or Google Play purchases must be requested directly through the respective platform, as we are unable to process or approve refunds on their behalf.

Cancellation and Termination

a. Account Cancellation: You are solely responsible for properly canceling your account. You can cancel your account at any time by contacting our customer support team at support@waiverly.net.

b. Effect of Cancellation: Upon account cancellation, all of your data and content will be immediately deleted from the Service. This deletion is irreversible, and the information cannot be recovered once your account is cancelled.

c. Partial Refunds: If you cancel the Service before the end of your current paid subscription period, your cancellation will take effect immediately, and you will not be charged again. However, there are no refunds for any remaining period of the subscription.

d. Right to Terminate: Waiverly, in its sole discretion, reserves the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Waiverly service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all content within your Account. Waiverly reserves the right to refuse service to anyone for any reason at any time.

e. Retrieval of Content: In the event that Waiverly takes action to suspend or terminate an account, we will make a reasonable effort to provide the affected account owner with a copy of their account contents upon request, unless the account was suspended or terminated due to unlawful conduct.

Modifications of Service and Prices

a. Service Changes: Waiverly reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We make these changes to improve user experience, adjust to legal requirements, or optimize our service offerings.

b. Price Adjustments: Prices for all services, including but not limited to monthly and yearly subscription plan fees, are subject to change. We will provide at least 30 days’ notice before such changes take effect. Such notice may be provided at any time by posting the changes to the Waiverly website or directly within the Service itself.

c. No Liability for Changes: Waiverly shall not be liable to you or any third-party for any modification, price change, suspension, or discontinuance of the Service. We understand changes can be inconvenient and we strive to minimize any negative impact on your experience and operations.

Copyright and Content Ownership

a. User Content Ownership: Waiverly does not claim any intellectual property rights over the material you provide to the Service. Your profiles and materials uploaded remain under your ownership. However, by choosing to make your pages publicly viewable, you agree to allow others to view such content.

b. Content Management: Waiverly does not pre-screen content. However, Waiverly and its designated agents reserve the right (but not the obligation) to refuse or remove any content made available via the Service at their sole discretion.

c. Intellectual Property Claims: You agree to defend Waiverly against any claims, demands, suits, or proceedings made or brought against Waiverly by a third party alleging that your content, or your use of the Service in violation of this agreement, infringes or misappropriates the intellectual property rights of a third party or violates applicable law. You shall indemnify Waiverly for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Waiverly in connection with any such claim, demand, suit, or proceeding; provided that Waiverly:

  • Promptly gives you written notice of the claim, demand, suit, or proceeding;
  • Gives you sole control of the defense and settlement of the claim, demand, suit, or proceeding (provided that any settlement unconditionally releases Waiverly of all liability);
  • Provides you with all reasonable assistance, at your expense.

Changes to Terms and Conditions

We may change our Terms and Conditions from time to time. If we make changes, we will notify you by revising the date at the top of this page and, in some cases, we may provide you with additional notice (such as adding a statement to our website or sending you a notification).
